1. Contract formation and scope

These Terms and Conditions are a legally binding agreement between you (the "Customer", "Subscriber", "Merchant" or "User") and CVC International Ltd (trading as Crocadilo), a company registered in England and Wales with its registered address at 128 City Road, London, EC1V 2NX ("CVC", "Crocadilo", "we", "us" or "our").

This agreement covers your access to and use of all Crocadilo products and services:

  • Digital Business Cards platform (backend.crocadilo.com): digital vCards, dynamic QR codes, the card editor, the paper card AI scanner, lead capture forms and appointment booking.
  • WhatsApp Micro-Store (backend.crocadilo.com): mobile web catalogues, basket and checkout, and sending orders to the merchant by WhatsApp.
  • Digital Rewards and Loyalty platform (rewards.crocadilo.com): digital stamp cards, points cards, web-based staff scanning at the till, Apple Wallet and Google Wallet passes, and voucher campaigns.
  • Physical NFC hardware: laser-engraved bamboo, matte black metal and wooden NFC business cards, counter tap stands and acrylic QR displays, made and fulfilled in partnership with NDC Creations UK.

Formation of contract: for software subscriptions, a contract is formed as soon as you register an account or activate a plan. For physical NFC hardware, a contract is formed once payment has cleared and the finished goods have been dispatched from our UK production facility.

2.3 Upgrading, billing and cancellation

You can use the free plans, or a free trial, without giving card details. To move to a paid plan, choose it at crocadilo.com/upgrade and pay through Stripe, which processes all payments securely. We never see or store your card details.

  • Monthly: billed monthly in advance until you cancel.
  • Yearly (digital card and store plans only): billed once a year in advance until you cancel.

We change your plan by hand once we have checked the payment, and we email you when it is done.

No contract. There is no minimum term and no exit fee. You can cancel at any time from the customer panel at crocadilo.com/panel (linked under "Log in" on our website) or by contacting support. Your paid plan continues until the end of the billing period you have already paid for. We do not give pro-rata refunds for part of a billing period.

Missed payments. If a renewal payment fails, Stripe tries your card again several times over about a week and we email you a link to update it. If it still cannot be collected, we may pause your paid features or move you back to the free plan. Your data is kept, and paying the outstanding amount restores your plan.

3. 0% commission

Unlike delivery apps and online marketplaces that take a percentage of each order, Crocadilo charges 0% commission on orders placed through your WhatsApp Micro-Store and on rewards redeemed through our loyalty system.

All revenue from your Crocadilo WhatsApp Micro-Store belongs to you. You take payment directly from your customers using the methods you choose (for example cash on collection, an in-person card terminal, bank transfer, Monzo, Revolut or your own Stripe account). Crocadilo never handles your customers' money and never takes a percentage of a transaction.

4. NFC hardware and laser engraving (NDC Creations)

Physical NFC hardware (including laser-engraved bamboo, matte black stainless steel and walnut cards, and acrylic counter tap stands) is made and distributed in partnership with NDC Creations UK (a division of CVC International Ltd).

Personalisation accuracy and your responsibility: we laser engrave and UV-print products exactly as you supply the text, artwork, logos and web addresses. It is your responsibility to check all spellings, phone numbers, social handles, QR web addresses and capitalisation carefully before you submit your order. Once bespoke production or engraving has started, changes are not possible. If a typing error or wrong web address supplied by you is found after manufacture, no refund, remake or exchange will be given.

4.1 Microchip warranty (12 months)

Every NFC card and tap stand uses genuine NXP NTAG microchips. We give a 12-month replacement warranty covering manufacturing defects in the chip or antenna under normal use. If an NFC chip stops scanning within 12 months of purchase because of an internal electronic fault, we will replace the item free of charge. This warranty does not cover physical damage, heavy surface scratching, accidental immersion in water beyond normal tolerances, deliberate bending or damage from improper handling.

4.2 Statutory returns (non-personalised items only)

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have 14 calendar days from receipt to tell us you want to return standard, non-personalised items (for example unengraved test cards or generic counter accessories) in their original, unopened packaging. Under Regulation 28(1)(b), goods made to the customer's specifications or clearly personalised are exempt from the 14-day right to cancel.

5. Event bookings and bespoke bulk orders

For bespoke commercial orders over £250, company-wide card roll-outs, or tailored event or wedding NFC stationery made with NDC Creations, these extra terms apply:

  • Non-refundable 50% deposit: a non-refundable deposit of 50% is needed to secure your production slot, reserve materials (such as grade-A bamboo or electroplated stainless steel) and start the digital proof. No manufacturing starts until the deposit has cleared.
  • Final balance: the remaining 50% must be paid in full no later than 30 calendar days before the scheduled delivery or event date.
  • Proof sign-off: all digital proofs must be approved in writing (by email or through our verified support chat) at least 14 calendar days before the scheduled production run. Once approved, the job goes to manufacture and no further changes can be made.

5.1 Cancelling a bulk or event order

If you cancel an event or bespoke commercial order, the following applies to the total order value:

When you cancelWhat happens
More than 6 months before deliveryFull refund of money paid, minus the non-refundable 50% deposit.
Between 31 days and 6 months before delivery50% of the total order value is kept; anything you paid above 50% is refunded.
30 calendar days or less before deliveryNo refund. 100% of the total order value is kept, because materials will already have been cut, engraved and scheduled.

6. Acceptable use and store conduct

When you use Crocadilo to publish digital business cards, run a WhatsApp Micro-Store or operate a loyalty programme, you must follow UK law and fair business practice:

  • Your products are your responsibility: the merchant is solely responsible for all goods, food, drink and services listed in their WhatsApp Micro-Store, and must comply with all applicable UK law, including the Consumer Rights Act 2015, food safety and hygiene regulations, allergen information rules and age-verification laws for age-restricted products (for example alcohol, tobacco and knives).
  • Honest loyalty programmes: merchants agree to honour valid stamp cards, points balances and digital vouchers issued through Crocadilo Rewards in good faith and without misleading terms.
  • Prohibited content: you must not upload, send or link to material that is defamatory, fraudulent, misleading, threatening, abusive, obscene, infringes anyone's intellectual property, or contains malware, phishing links or unauthorised pyramid schemes.

We may suspend or close any account that breaks these rules immediately, without notice or refund.

7. Customer data and UK GDPR

When a customer saves your digital card, orders through your WhatsApp store or adds your loyalty pass to Apple Wallet or Google Wallet, that customer relationship belongs to your business.

Under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018:

  • Controller and processor: the merchant is the data controller for their customer contact lists, order details and loyalty member records. Crocadilo (CVC International Ltd) acts as a data processor, providing the technical service.
  • We don't sell your data: Crocadilo will never sell, lease, rent or cross-market your customer database to third parties or competitors. We will never contact your loyalty members to market our own services.
  • Exporting your data: on eligible plans, you can export your customer list, stamp counts and transaction logs in a standard format (CSV or JSON) at any time.

8. Intellectual property and showcase rights

8.1 Platform intellectual property

All software, algorithms, interface designs, code, trade secrets, logos, brand assets and documentation relating to Crocadilo and CVC International Ltd remain the exclusive intellectual property of CVC International Ltd. You are granted a non-exclusive, non-transferable, revocable licence to use the software for your legitimate business.

8.2 Your brand and our showcase rights

You keep full ownership of all trademarks, logos, artwork and text you upload to the platform or send us for engraving.

Showcase rights: we may photograph finished physical products (including engraved wedding stationery, metal business cards and counter tap stands) and feature publicly published digital cards or store catalogues on our website, customer stories and social media (for example Instagram and LinkedIn) as examples of our work.

Confidential order or surprise? If your order is confidential, part of an unannounced launch or a surprise gift, email hello@cvcinternational.com and ask us not to photograph it until after your public announcement date.

9. Third-party services

Some Crocadilo features work with third-party services:

  • WhatsApp (Meta Platforms): the WhatsApp Micro-Store uses standard WhatsApp links to pass a customer's basket into their WhatsApp chat. Crocadilo is independent and is not affiliated with or endorsed by Meta Platforms, Inc. We are not liable for interruptions to the WhatsApp service or changes to the WhatsApp app.
  • Apple Wallet and Google Wallet: digital passes follow Apple's and Google's pass specifications. Merchants must follow Apple's and Google's developer terms for loyalty passes.
  • Payments (Stripe): online payments are processed by Stripe. Transactions are subject to Stripe's own terms and fees.

10. Force majeure and limitation of liability

Force majeure: neither Crocadilo nor NDC Creations (CVC International Ltd) will be liable for any delay or failure to perform our obligations caused by events beyond our reasonable control, including fire, flood, storm, earthquake or other natural disasters, war, terrorism, civil unrest, national power failures, global telecommunications outages, strikes, industrial disputes, material shortages, or the sudden illness or incapacity of key production staff.

10.1 Limit on financial liability

If Crocadilo or NDC Creations cannot fulfil an order or service because of a force majeure event or an administrative failure, our total liability is limited to a full refund of the money you paid for the specific order or subscription period affected.

To the maximum extent permitted by English law, CVC International Ltd will not be liable for any consequential, indirect, special, punitive or incidental losses, including loss of expected profits, loss of revenue, loss of goodwill, the cost of emergency replacement suppliers, or distress relating to business or private events.

11. Governing law, jurisdiction and company details

These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by and interpreted in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement.
